The actual scope of title and closing services for any specific transaction will be governed by the engagement agreement, title commitment, or closing instructions issued for that transaction, which may contain additional or different terms than those set forth here.

Our website and services are available to individuals who are at least 18 years of age and legally capable of entering into binding contracts. By using our website or services, you represent that you meet these requirements.

Permitted Uses

Prohibited Uses

All title and closing services are subject to the terms of the applicable Title Commitment, closing instructions, and any underwriter guidelines in effect at the time of the transaction. In the event of a conflict between these Terms and a transaction-specific closing agreement, the closing agreement shall control.

We strive to maintain accurate, current, and useful information on our website. However, we make no representations or warranties of any kind, express or implied, regarding the completeness, accuracy, reliability, or availability of any website content, including:

• Fee schedules, title insurance rates, and closing cost estimates
• County-specific recording fees and tax rates (which may change without notice)
• Service descriptions and turnaround times

Florida title insurance rates are promulgated by the Florida Department of Financial Services and are subject to change. County recording fees, documentary stamp taxes, and intangible taxes are set by Florida Statutes and local ordinance and are subject to legislative change. We reserve the right to modify, suspend, or discontinue any portion of our website, tools, or digital services at any time without notice or liability.

By using our Net Sheet Calculator, you acknowledge and agree that the estimates provided are not binding, do not constitute a commitment to provide services at the estimated cost, and that Carrillo Title Agency is not liable for any decisions made based on calculator outputs.

We treat all non-public information shared with us in connection with a title transaction as confidential. This includes buyer and seller personal information, financial data, loan details, and any proprietary business information shared by lenders or institutional clients.

We are required by law and ALTA Best Practices to maintain strict confidentiality of transaction-related information. We will not disclose confidential client information to any party except:

Real estate wire fraud is a serious and growing threat. Criminals compromise email accounts of title companies, real estate agents, and lenders, then send fraudulent wiring instructions to divert closing funds. Carrillo Title Agency will never send wire transfer instructions solely via email, and we will never request last-minute changes to wiring information without verbal confirmation.

Carrillo Title Agency is not liable for losses resulting from wire fraud where funds were transferred based on instructions provided by fraudulent third parties impersonating our firm, provided we have followed our standard security protocols. We strongly encourage all parties to independently verify wire instructions by phone before every wire transfer.

If you believe you have received a fraudulent communication purporting to be from Carrillo Title Agency, contact us immediately and report the incident to the FBI's Internet Crime Complaint Center (IC3) at ic3.gov.

To the maximum extent permitted by applicable Florida law, Carrillo Title Agency, its members, managers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to:

• Your use of or inability to use our website or digital tools
• Reliance on any information, estimate, or content provided on our website
• Any errors, inaccuracies, or omissions in website content or calculator outputs
• Unauthorized access to or alteration of your data by third parties
• Any matter beyond our reasonable control, including acts of God, government actions, or third-party system failures

Our total liability for any claim arising out of or related to your use of our website or digital tools (excluding claims related to a specific closed transaction governed by a separate closing agreement) shall not exceed $500 or the amount you paid to us for the specific service giving rise to the claim, whichever is greater.

Liability for errors or omissions in title insurance services is governed by the terms of the applicable title insurance policy issued by our underwriter. Claims arising from a specific title transaction are subject to the limitations set forth in the title commitment, title insurance policy, and applicable Florida law.

You agree to defend, indemnify, and hold harmless Carrillo Title Agency, its members, managers, employees, agents, underwriters, and affiliates from and against any claims, liabilities, damages, losses, and expenses — including reasonable attorneys' fees — arising out of or in any way connected with:

• Your use of our website or services in violation of these Terms
• Your violation of any applicable law or third-party rights
• False, inaccurate, or misleading information you provide to us
• Any fraudulent or unauthorized activity conducted through your account or on your behalf
• Your failure to verify wire transfer instructions before sending funds

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

Any legal action or proceeding arising under or relating to these Terms, your use of our website, or the services we provide shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida. You irrevocably consent to the personal jurisdiction and venue of such courts.

Carrillo Title Agency is licensed and regulated by the Florida Department of Financial Services and operates in compliance with applicable Florida title insurance statutes, including Chapter 627, Florida Statutes.

If we are unable to resolve a dispute informally within 30 days, either party may pursue formal legal remedies as described in the Governing Law section above. You and Carrillo Title Agency agree that any dispute resolution proceedings, whether in arbitration or in court, will be conducted on an individual basis and not as part of a class or representative action. You waive any right to bring or participate in a class action related to your use of our website or services.

We reserve the right to update or modify these Terms of Service at any time in our sole discretion. When we make material changes, we will:

• Post a notice on our website for significant changes
• Notify active clients by email where changes materially affect ongoing service engagements
